The Ellen “Clue®:  Secrets & Spies” Sweepstakes

NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE.  A purchase will not increase your chances of winning.  The entry period for The Ellen “Clue®:  Secrets & Spies” Sweepstakes (the "Sweepstakes"), sponsored by WAD Productions, Inc. (the “Sponsor”), begins November 9, 2009 at 9:00 a.m. Eastern Time (ET) and ends November 17, 2009 at 11:59:59 p.m. ET (the “Entry Period”). Sponsor’s computer is the official time keeping device for the Sweepstakes.  Void where prohibited.

Here’s the premise of the Sweepstakes:  Ellen’s handbag is missing!  It’s your job to help her find it.  And if you are declared the winner of the Sweepstakes (subject to verification), you’ll get to keep what’s in the bag--$15,000.

 1. ELIGIBILITY: 

The Sweepstakes is open to individuals who are at least twenty-one (21) years of age on the date of entry into the Sweepstakes, a legal resident of and physically located in the fifty (50) United States (including DC but excluding Puerto Rico, United States territories, possessions, and protectorates, and foreign based United States military installations).

As a condition of being selected as a Sweepstakes semi-finalist (as further described below), you must be available to participate in a telephone, text message or e-mail interview with Sponsor on or about November 19, 2009.  As a condition of being selected as a Sweepstakes finalist (if finalists are selected as further described below), you must be able to travel to Los Angeles, California as early as November 19, 2009 or as late as November 23, 2009 for a one-day stay in Los Angeles to appear on and compete in a contest with other finalists during a taping of “The Ellen DeGeneres Show” (referred to hereinafter from time to time as the “Show”). 

Neither Sponsor nor employees of Sponsor, the Ellen DeGeneres Show, broadcast licensees of The Ellen DeGeneres Show, Time Warner, Warner Brothers Entertainment, Telepictures Productions, Inc. and all of their respective partners, parent companies, divisions, subsidiaries, affiliates, trustees, franchisees, licensees, distributors, advertising, promotion and public relations agencies and their respective officers, directors, employees, agents, independent contractors, representatives and agencies (collectively, the "Sweepstakes Entities") are eligible to participate in the Sweepstakes and/or win the Prize (as defined below).  Additionally, relatives of such employees and persons living in the same household as such employees (whether related or not) are not eligible to win.  For the purposes of this Sweepstakes, “relatives” is defined as spouse, domestic partner, parent, in-laws, grandparent, brother, sister, children and grandchildren. 

2. HOW TO ENTER: 

The only way to enter the Sweepstakes is via the Internet.  To enter, go to one of the following Internet web site at least once during the Entry Period: www.twitter.com/theellenshow or www.facebook.com/ellentv. You do not have to have a Twitter account to use the Twitter page.  You can use the Twitter page free of charge.   In order to access the Facebook page, you will have to submit a profile and become a Facebook member.  That membership is free.   On both the Twitter and the Facebook pages will be a hyperlink to a picture or photograph that will give you that day’s clue concerning the location of Ellen’s handbag.  Click on the hyperlink to see the picture or photograph and you will be transferred to a page on Ellen’s Internet web site (www.ellentv.com).  That page will reveal the picture or photograph.  Immediately below the picture or photograph will be a space to type in the location illustrated by the picture or photograph as well as your Sweepstakes entry information.  You will be required to enter your name, your complete mailing address (P.O. Boxes not accepted), your primary phone number (with area code), your cell phone number or alternate phone number (if any) (with area code), your birth date and your e-mail address.  You can also find daily clues during the Entry Period at www.warnerbros.com/hasbro.

LIMIT:  one Sweepstakes entry per day during the Entry Period per e-mail address/household.  As used herein, a “day” means that period commencing at 9 a.m. ET and ending at 11:59:59 p.m. ET. All entries for any one day during the Entry Period must be received by 11:59 p.m. (PT) on the date of entry; entries received after 11:59 p.m. (PT) will be disqualified.  Entries will not be accepted on any Saturday or Sunday during the Entry Period; entries received on a Saturday or Sunday during the entry period will be disqualified.  Only those entries which correctly identify the location illustrated by the picture or photograph will be eligible to be included in the semi-finalist drawing (further described below).  Entries with an incorrect location answer will be disqualified. 
All entries become the property of Sponsor and will not be acknowledged or returned, and all information therein will be used solely in connection with the administration of the Sweepstakes and the awarding of Prizes, in accordance with applicable law.  Every entry submission must be manually keystroked and manually entered by the individual entrant. Automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot, or Sweepstakes service) will be disqualified and transmissions using automated and/or repetitive electronic submission methods from any related e-mail or IP addresses may be blocked. 

3. SELECTION OF SWEEPSTAKES SEMI-FINALISTS, FINALISTS AND WINNER

SEMI-FINALISTS DRAWING:  All Sweepstakes entries which have correctly identified at least one (1) picture/photograph location during the Entry Period are eligible for the semi-finalist drawing.  Sponsor will conduct a random drawing from all such eligible entries on or about November 19, 2009 and select two hundred fifty (250) semi-finalists (if an entrant who has submitted two or more eligible entries during the Entry Period is selected more than once during this random drawing, all but one of those duplicate entries for that entrant will be discarded and additional eligible entries will be selected by Sponsor until there are 250 individual semi-finalists) (individually, a “Semi-Finalist”; collectively, the “Semi-Finalists”).  All Semi-Finalists are subject to verification pursuant to the terms and conditions of these Official Rules.
FINALISTS/WINNER SELECTION:  Sponsor will interview each Semi-Finalist via telephone, text messaging or e-mail on or about November 19, 2009.  As further described below, the Sweepstakes winner or a maximum of three (3) Sweepstakes finalists (each a “Finalist”; collectively, the “Finalists”) will be selected based on the following interview criteria:  enthusiasm (33 1/3%), attitude (33 1/3%) and general knowledge of “The Ellen DeGeneres Show” (33 1/3%). 
Whether one Sweepstakes winner or three Finalists are selected following those interviews will be determined according to the method by which Sponsor elects, in its sole discretion, to announce publicly the Sweepstakes winner. 
If Sponsor elects to (i) announce the Sweepstakes winner via a telephone call from Ellen DeGeneres during either the November 19 or November 23, 2009 taping of the Show (as determined by Sponsor in its sole discretion), or (ii) announce the Sweepstakes winner by sending a television crew to the Finalist’s home address during either the November 19 or November 23, 2009 taping of the Show (as determined by Sponsor in its sole discretion), one (1) Sweepstakes winner, and no Finalists, will be chosen from among all of the Semi-Finalists (that winner is subject to verification pursuant to the terms sand conditions of these Official Rules).  That Sweepstakes winner will win the cash in Ellen’s handbag (the “Grand Prize”).  TOTAL VALUE OF SWEEPSTAKES WINNER PRIZE IF NO FINALISTS ARE SELECTED:  $15,000.00
Instead of selecting one Sweepstakes winner, the Sponsor will select three (3) Finalists from among the Semi-Finalists if Sponsor elects (in its sole discretion) to determine the Sweepstakes winner by having three Finalists travel to Los Angeles, California to compete in a contest selected by Sponsor in its sole discretion which will be conducted during a taping of the November 19 or November 23, 2009 Show (date to be determined by Sponsor in its sole discretion).  The winner of that contest will be declared the Sweepstakes winner (subject to verification pursuant to the terms and conditions of these Official Rules).  Sponsor will fly each of the Finalists to Los Angeles on the day before the applicable Show taping date.  Each Finalist will receive (i) one (1) round trip, coach airfare to Los Angeles from a major gateway airport near Finalist’s residence within the U.S., (ii) hotel accommodations for one day/one night (double occupancy) in Los Angeles (hotel to be selected in Sponsor’s sole discretion), (iii) two (2) VIP tickets to attend the November 19 or November 23, 2009 taping of the Show (date to be determined by Sponsor in its sole discretion); and (iii) ground transportation or transfers to and from airport/hotel/taping venue in Los Angeles.  If one or more of the Finalists resides within a 100-mile radius of Los Angeles, Sponsor will provide that Finalist(s) with ground transportation in lieu of air transport (and no additional compensation will be provided to that Finalist).    The  Sweepstakes winner will win the cash in Ellen’s handbag. 

TOTAL VALUE OF EACH FINALIST PRIZE:  $2,000.00. 
In the event of a tie for the third Finalist or, if no Finalists are selected, the Sweepstakes winner, the potential third Finalist or the Sweepstakes winner with the highest “enthusiasm” percentage attained during the interview process will be selected.  In the event of a further tie, the potential Finalist or potential Sweepstakes winner with the highest “knowledge of The Ellen DeGeneres Show” score attained during the interview process will be selected.
Odds of winning the Grand Prize depend on the number of eligible entries received during the Entry Period which have correctly identified at least one of the locations where Ellen’s handbag might be.
If any potential Semi-Finalist or Finalist (i) cannot be reached, (ii) fails to respond to the Prize notification, and/or (iii) declines the Prize, an Semi-Finalist or Finalist (as applicable) may be selected in Sponsor’s sole discretion.  Sponsor is not obligated to leave a voice mail message on a potential winner’s answering machine nor is Sponsor required to send more than one e-mail notification to a potential winner.  If a Finalist or the potential Sweepstakes winner, within three (3) hours of Sponsor’s Finalist or winner notification, (i) fails to return a completed affidavit of eligibility, liability/publicity release, or other documents(s) as required by Sponsor, (ii) fails to provide Sponsor with a copy of his/her valid government issued photo identification or social security number, and/or (iii) is found to be ineligible, an alternate winner may be selected at Sponsor’s sole discretion. Sponsor reserves the right to modify the notification and affidavit/release procedures in connection with the selection of an alternate winner, if any. The address provided by each entrant on the Sweepstakes entry form shall serve as the address of record in respect of all mailings to each entrant.  Changes to such mail address may serve as a basis for disqualification.  All winning entries are subject to verification of entrant’s eligibility and full compliance with these Official Rules before such potential winner can be declared a Finalist or Grand Prize winner and become entitled to receive the Grand Prize

Each Finalist will be required to execute a Videotaping Release when the Finalist arrives at the venue for the taping of the Show.

4. GRAND PRIZE:  Fifteen Thousand Dollars ($15,000.00) in cash. 

TOTAL ARV OF ALL PRIZES (if three Finalists are selected in addition to a Grand Prize winner):  $21,000.00.

Air travel must be roundtrip; no layovers or stopovers allowed.  Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by the airline carrier as detailed in the passenger ticket contract. Reservations and airline tickets are non-refundable for cash or credit, non-transferable and non-changeable once issued.  The airline tickets cannot be sold, exchanged or bartered.  If lost, they will not be replaced.  Each winner and his/her guest are responsible for insurance and any other required travel documents, including valid identification. All expenses not specifically set forth herein including, without limitation, meals, beverages, telephone charges, movie charges, pay-per-view television charges, hotel room-service charges, merchandise, souvenirs, and any other incidental costs and expenses shall be the sole responsibility of each winner and his/her guest who incur such charges.  All details of the prize are at Sponsor’s sole discretion.  If prize winner is unavailable to travel on dates specified by Sponsor, the prize will be forfeited and Sponsor shall have the right to select an alternate potential winner provided sufficient time exists to confirm and verify the alternate potential winner. 

Decisions made by Sponsor are final in all matters, including interpretation of these Official Rules and awarding of the Prizes, and cannot be appealed.  By entering this Sweepstakes, each entrant hereby waives any claim of ambiguity in the Sweepstakes and these Official Rules.  No substitutions of the prizes are offered, except that Sponsor and the Sweepstakes Entities reserve the right in their sole discretion to substitute a prize(s) or any portion of a prize(s) for a prize(s) of equal or greater value.  No transfer of a prize to a third party is permitted and the cash value of a prize(s) will not be awarded in lieu of a prize where it applies, except in Sponsor’s sole discretion.   Any applicable federal, state and local taxes, including, without limitation, excise tax (including sales tax), and other expenses not specifically set forth herein are the sole responsibility of the prize winners (as applicable).  The value of the prizes set forth above represents Sponsor’s good faith determination of the approximate retail value thereof and that determination is final and binding and cannot be appealed.  The prize winner will not receive any difference between the actual and approximate retail value.

Sponsor is not responsible if any scheduled event is delayed, postponed or cancelled for any reason, in which event that portion of the prize is forfeited in its entirety and no compensation, substitution or cash equivalent will be provided to prize winner.

Sponsor and Sweepstakes Entities are not responsible for any fees or additional charges resulting from Finalist’s change of accommodations.

5. LIMITATION ON LIABILITY/DISCLAIMER:

Any attempted form of entry into the Sweepstakes other than as described herein is void. No mechanical reproductions, alterations, or forged entries allowed. Sponsor reserves the right, at its sole discretion, to disqualify any individual (and his/her entry) who tampers with the entry process. 

Any person who supplies false information, enters by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain a Prize will forfeit the Prize won and may be prosecuted to the fullest extent of the law.  All federal, state and local laws and regulations apply.  Each entrant agrees not to knowingly: damage or cause interruption of the Sweepstakes; prevent others from using the Sweepstakes; or obtain or modify another user's account information without their consent.

CAUTION: ANY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL AND/OR CIVIL LAWS.  IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY SWEEPSTAKES ENTRANT MAKING SUCH ATTEMPT AND SPONSOR MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor and Sweepstakes Entities are not responsible for delay in operation or transmission, communications line failure or for lost, late, delayed, undelivered, corrupted, incomplete, destroyed, forged, illegible, damaged, tampered with, mass machine generated, unintelligible, incomprehensible, misdirected entries, otherwise not in compliance with these Official Rules.   Sponsor and Sweepstakes Entities are also not responsible for typographical, printing, clerical or human errors (and Sponsor and Sweepstakes Entities reserve the right to correct typographic, clerical or printing errors in any Sweepstakes materials), technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed software transmissions which may limit an entrant’s ability to participate in the Sweepstakes, damage to user’s or another party’s computer system as a result of participation in the Sweepstakes or downloading any information necessary to participate in the Sweepstakes or for errors in the administration of the Sweepstakes or in the announcement of prizes including without limitation, such error as may give an erroneous indication that a prize has been won..  Sponsor reserves the right in its sole discretion to cancel, terminate, suspend or modify the Sweepstakes if, in the sole judgment of the Sponsor, the Sweepstakes is not capable of running as planned, including, without limitation, any computer virus, malfunction, tampering, unauthorized intervention, fraud, technical failure or other cause beyond its control which corrupts, threatens or adversely affects the administration, security, fairness, integrity or proper operation of the Sweepstakes.  In the event of a dispute as to the identity or eligibility of a prize winner based on an e-mail address, the winning entry will be declared made by the “Authorized Account Holder” of the e-mail address submitted at time of entry.  “Authorized Account Holder” shall mean the natural person18 years of age or older who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  In the event that production, technical, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

As a condition of entry, you agree to be bound by these Official Rules and the decisions of Sponsor.  Except where prohibited by law, by entering this Sweepstakes, you consent to (i) the use of your name, voice, picture, likeness and biographical data and/or any other information contained in your entry in advertising, promotional and marketing materials by Sponsor and the Sweepstakes Entities worldwide in all media now known or hereafter discovered (including Sponsor’s and Sweepstakes Entities’ web sites) without additional compensation, notice, consent, approval or review and (ii) the modification, editing, adaptation, electronic alteration, use, assignment and/or disposal of on-line entries however Sponsor sees fit and for any purpose without any compensation, notice, consent, approval or review  to you.  You acknowledge that if you are chosen as a winner, certain of your personally identifying information may be disclosed to third parties at least as required by law, including, without limitation, on a Winners’ List.

All prize claims and documents provided by the winners must be verified by Sponsor.

EACH FINALIST AND winner, by acceptance of a Prize, agrees to release Sponsor AND the Sweepstakes Entities from AND AGAINST any and all liabilitIES, claims, DEMANDS, LOSSES, DAMAGES or actions of any kind whatsoever for injuries, death, disability, attorneys’ fees, costs of litigation and settlement as well as damages or losses to persons and property that may be sustained In connection with OR WHICH ARISE OUT OF, DIRECTLY OR INDIRECTLY, the receipt, ownership, REDEMPTION, use OR MISUSE, LOSS OR MISDIRECTION of A Prize, while traveling to and/or from a location to obtain or use A Prize OR ANY PORTION OF A PRIZE OR IN CONNECTION WITH ANY SWEEPSTAKES ACITIVITY IN WHICH FINALIST OR WINNER PARTICIPATES AND HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL aND CONSEQUENTIAL DAMAGES (UNLESS OTHERWISE PROHIBITED) AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHREWISE INcrEASED.

Neither Sponsor nor the Sweepstakes Entities make any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the use of any Prize including, without limitation, quality, merchantability, or fitness for a particular purpose. Further, no responsibilities are accepted for any additional expenses, omissions, delays, re-routing, or acts of any government or authority.

Sponsor and Sweepstakes Entities shall not be liable to any winner or any other person for failure to supply a prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor’s sole control.  Sponsor and Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same.  Sponsor and Sweepstakes Entities shall not be liable for any lost, misdirected, destroyed or damaged baggage.

6. GOVERNING LAW. 

Any and all legal actions or claims arising in connection with this Sweepstakes shall be resolved individually without resort to any form of class action and shall be brought only in the courts located in Los Angeles County, California.  Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred including, without limitation, costs associated with entering this Sweepstakes, but in no event attorneys’ fees.  These Official Rules and the Sweepstakes shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction) which would cause the application of the laws of any jurisdiction other than the State of California.
