Official Rules

The following sweepstakes is intended for viewing, or as applicable, participation in the fifty United States (but excluding Puerto Rico), the District of Columbia and Canada (but excluding Quebec) only and shall only be construed and evaluated according to United States law. Do not proceed in this sweepstakes if you are not a legal resident of the United States or Canada (excluding residents of Quebec), or if you are a legal resident of the United States or Canada (excluding resident of Quebec) and you do not fall within the eligibility requirements set forth in the official rules below.

HOW TO ENTER:
NO PURCHASE NECESSARY TO ENTER OR WIN THE PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. The Ellen Watch and Win Sweepstakes (the "Sweepstakes") is sponsored by WAD Productions, Inc. ("Sponsor") and begins at 9 a.m. Eastern Time (ET) on February 3, 2010 and ends at 11:59:59 p.m. ET on March 5, 2010 (the "Entry Period") . There will be five (5) prize packages awarded during the Entry Period. One (1) weekly prize package winner will be selected on or about February 5, February 12, February 19, February 26 and March 5, 2010 during the Entry Period. You can enter the Sweepstakes beginning at 9 a.m. ET on the Monday of each week during the Entry Period (except for the first week of the Entry Period when entries will be accepted beginning at 9 a.m. ET on February 3, 2010). All entries for any week of the Entry Period must be received by 11:59:59 p.m. ET on the Friday of the applicable week. Sponsor's computer will be the official clock for the Sweepstakes. Limit: one (1) entry per person/e-mail address per day during each week of the Entry Period. Proof of submitting an entry will not be deemed by Sponsor as proof of receipt of entry into the Sweepstakes. Any attempted form of entry into the Sweepstakes other than as described herein is void.

To enter watch one or more episodes of THE ELLEN DEGENERS SHOW (the "Show") during any given week of the Entry Period. Each day a question will be asked during the broadcast of the Show about that episode. Beginning at 9 a.m. ET on the Monday of each week during the Entry Period (except for the first week of the Entry Period which begins at 9 a.m. ET on February 3, 2010) go to www.ellentv.com (the "Web Site"). You will be brought to a web page that contains the registration form where you will be prompted to enter the following information: your name, address, telephone number (with area code), alternate telephone number, if any (with area code), date of birth and the answer to the question asked on that day's episode. You may also answer any other question posted on that Web Site page that was asked during other episodes of the Show which were broadcast during that same week of the Entry Period. You will also be required to upload a picture of yourself (see Web Site for details) and a brief written description of yourself (100 words or less). If you correctly answered two or more of the questions found on the Web Page on the date you enter, your name will be automatically entered into a random drawing for that week's Prize (defined below) from among all other eligible entries received. The two correct answers may be submitted in one or more separate entries during the applicable week of the Entry Period. All entries must be submitted at the Web Site during the period that the Sweepstakes is being offered according to all applicable directions as listed on the Web Site, or the entry will be void. Those who do not fill in all the required fields will be disqualified. Eligible entries received during any one week of the Entry Period will be carried over andr entered for each of the remaining weeks of the Entry Period. Entries generated by a script, macro or other automated means will be disqualified. Sponsor (defined below) is not responsible for lost, late, incomplete, illegible, incomprehensible or misdirected entries, bugs, failures in servers, hardware or software transmission failure or loss or delayed or corrupted data transmissions or any injury or damage to an entrant's or any other person's computer related to or resulting from downloading any portion of this Sweepstakes. All entries will become the property of Sponsor and none will be returned. This Sweepstakes is void where prohibited or restricted by law. The winner will be notified via telephone, mail or e-mail that he/she, subject to verification, is a Prize winner. If a winner cannot be reached after a reasonable effort has been made during one (1) day from Sponsor's first attempt, or if an entrant is found to be ineligible, an alternate winner may be selected. If any Prize or Prize notification is returned as undeliverable, the winner may be disqualified, and an alternate winner may be selected.

ELIGIBILITY:
The Sweepstakes is open to legal residents who are physically residing in one of the 50 United States or the District of Columbia (but specifically excluding the territory of Puerto Rico) and to legal residents of Canada who are physically residing there (but excluding residents of Quebec). All entrants must be twenty-one (21) years old and over as of the date of entry. Employees of WAD Productions, Inc. ("Sponsor"), ELLEN DEGENERES SHOW, Telepictures Productions, ellentv.com, Time Warner, Warner Bros. Entertainment, Warner Bros. Online, the entity or entities supplying the Prize or Prizes for any given Sweepstakes, and each of their respective partners, parent companies, divisions, subsidiaries, affiliates, advertising, promotion and public relations agencies and their respective officers, directors, employees, representatives and agencies (collectively, the "Sponsor Entities") are not eligible to participate in the Sweepstakes and/or win a Prize. Additionally, relatives of such employees and persons living in the same household as such employees, whether or not related are not eligible to win. For the purposes of this Sweepstakes, relatives are defined as spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren. In addition, you are not eligible to participate or win a Prize in this Sweepstakes if you have been involved in the development, production (including Prize suppliers), implementation and distribution of this Sweepstakes or any of the Warner Bros.' websites.

PRIVACY:
Except as otherwise stated in these official rules, the use of the information each entrant submits in this Sweepstakes is governed by Warner Bros.' Online privacy policy, which can be found at http://www.wb.com/main/cmp/privacy_PII_1.html .

WINNERS/PRIZE:
One (1) prize package will be awarded to one (1) eligible entrant during each week of the Entry Period. Limit: one (1) prize package per person during the Entry Period. The potential weekly winner will be selected in a random drawing from all eligible entries received during that week. The potential winner for each week's Prize will be drawn on or about those dates indicated above. . The total approximate retail value ("ARV") of each week's Prize will be $20,000.00. The total ARV for all Prizes awarded during the Entry Period will be $100,000.00. No transfer, cash equivalent or Prize substitution allowed, except at Sponsor's sole discretion. Sponsor may require winner(s) to sign an affidavit of eligibility and liability/publicity release (if a US resident) or a Declaration of Compliance (if a Canadian resident) (as more fully discussed below). Decisions made by Sponsor are final in all matters, including interpretation of these official rules and awarding of the Prize(s) and those decisions cannot be appealed. If legitimately claimed, the Prize(s) will be awarded. In no event will more than the stated number of Prizes be awarded. All expenses not specified herein, including, without limitation, all federal, state, provincial and local taxes, are each winner's sole responsibility. Canadian winners are responsible for all customs fees/import/duties or other tariffs that may be incurred with claiming/shipping of prizes.

The value of each of the prize s set forth above represents Sponsor's good faith determination of the approximate retail value thereof and cannot be challenged. Prizes consist of only those items specifically listed above as part of the prize.

The Travel Prize: The ARV for any travel prize varies depending upon the point of departure and fare fluctuations. Travel prize is subject to holiday and black-out dates and other travel restrictions. Travel prize components subject to availability and the specific terms and conditions of the cruise line. Transportation and accommodations must be taken together and cannot be taken separately. In the event that any component of a travel prize is unavailable, canceled or postponed for any reason, the remainder of that travel prize will be awarded with the exception of those components (as applicable) and the remaining elements of the travel prize shall constitute full satisfaction of Sponsor's prize obligation to the Prize winner. If travel prize winner elects to travel or partake in the trip without his/her allotted guest, no additional compensation will be awarded. Travel prize winner and winner's travel guest must travel together on the same itinerary. Travel prize winner's travel guest must be at least 21 years of age on date of travel. Prize winner must give advance notice of winner's desired departure date; the amount of advance notice shall be determined solely by the trip's cruise line. All travel must be completed within one (1) year of awarding. Reservations are based on space availability and at the sole discretion of the cruise line. Once the reservation has been made, no amendments will be accepted. No extension of effective dates is permitted. Prize winner is solely responsible for obtaining and providing all necessary travel and identification documents (e.g., passports). Failure to provide such documents may result in trip cancellation upon check-in. Travel prize on-board accommodations include one shared inside state room and meals. The travel prize is for 7 days/6 nights. Norwegian cruise departs from and returns to Los Angeles. Airfare to and from Los Angeles not included in travel prize. In connection with the travel prize, all unspecified meals, shore excursions, restaurant cover charges, personal expenditures, beverages, insurance, taxes, additional gratuities, ground transportation, incidentals and any other expenses not specified herein are the sole responsibility of the winner and the winner's travel guest. Sponsor is not responsible for lost, damaged or misplaced luggage. Lost cruise tickets will not be replaced. Tickets are not refundable for cash or credit.

All Prizes: All unspecified expenses are the sole responsibility of the winner.

ODDS OF WINNING:
For each weekly Prize drawing, the odds of winning depend upon the number of eligible entries received each week during the Entry Period.

LIMITATION ON LIABILITY / DISCLAIMER / OTHER REQUIREMENTS:
All entrants, as a condition of entry, agree to be bound by these official rules and the decisions of Sponsor. Except where prohibited by law, by entering a Sweepstakes, each entrant consents to the use of his/her name, voice, picture, likeness and biographical data and/or any other information contained in his/her entry in advertising, promotional and marketing materials by Sponsor and the Sponsor Entities without additional compensation, review or approval which may require, without limitation, winner to appear in person on a television, radio or Internet broadcast. In addition, by entering, all entrants, except where prohibited by law, consent to being photographed, filmed, taped and/or interviewed about the Sweepstakes. In connection therewith, all entrants grant full permission and consent to Sponsor and the Sponsor Entities to utilize any of the results of such photographing, filming, taping and/or interviewing in any and all media now known or hereafter devised without additional compensation, review or approval and hereby release Sponsor and the Sponsor Entities from all liability related thereto.

Winners may be required to sign, have notarized and return an affidavit of eligibility and liability/publicity release (if a U.S. resident) or a Declaration of Compliance (if a Canadian resident) within five (5) days of receipt of such document(s) or Prize will be forfeited.

If a potential winner is a Canadian resident that potential winner will be contacted by telephone (a the telephone number provided on that entrant's entry form) and will be required to correctly answer a time-limited skill testing question before being declared an actual winner.

All Prize claims and winner materials will be verified by Sweepstakes judges.

If this Sweepstakes is not capable of running as planned, including, because of any infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or other cause beyond Sponsor's control which corrupts or threatens to corrupt or adversely affects the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, suspend and/or modify this Sweepstakes and Sponsor can perform the random drawing from among all eligible entries received prior to such cancellation, suspension or modification of the Sweepstakes. Winner, by acceptance of any Prize, agrees to release Sponsor and the Sponsor Entities from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of any Prize or while traveling to and from a location to obtain or use any Prize. Further, no responsibilities are accepted for any additional expenses, omissions, delays, re-routing, or acts of any government or authority.

Neither Sponsor nor the Sponsor Entities make any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the use of any Prize including, without limitation, quality, merchantability, or fitness for a particular purpose. By participating, entrants agree to release, discharge and hold harmless the Sponsor and the Sweepstakes Entities from any and all claims, actions, demands, losses, liabilities and damages of any kind whatsoever (including, without limitation, bodily injury, personal injury, death, disability and property damage), costs and expenses (including, without limitation, reasonable attorney's fees, court costs, settlement and disbursements) directly or indirectly arising out of their participation in the Sweepstakes, the redemption, acceptance, possession, use, misuse, loss or misdirection of any Prize or any portion of the Prize, and participation in any Prize-related activities, and hereby waive all rights to claim punitive, incidental and consequential damages.

Neither Sponsor nor the Sponsor Entities are responsible for technical, hardware, software, or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by Sponsor or the Sponsor Entities, the user or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes and which may limit a participant's ability to participate in this Sweepstakes. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Any person who supplies false information, enters by fraudulent means, or is otherwise determined to be in violation of these official rules in an attempt to obtain any Prize will forfeit the Prize won and may be prosecuted to the fullest extent of the law. The Sweepstakes shall be governed by, construed and enforced in accordance with the laws of the State of California. Any action by entrant or any third party brought to enforce these rules or, in connection with any matters related to the Web Site shall be brought only in either the State or Federal Courts located in Los Angeles County, California, and you expressly consent to the jurisdiction of said courts. Each entrant further agrees to not knowingly: damage or cause interruption of the Sweepstakes; prevent others from using the Sweepstakes; or obtain or modify another user's non-public account information without their consent. Submission of an entry is acknowledgment of, and agreement to be bound by, all terms and conditions of these official rules. In the event of a dispute concerning who submitted an e-mail entry, the entry will be declared to have been made by the authorized account holder of the e-mail address submitted at time of entry. An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL AND/OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY SWEEPSTAKES ENTRANT MAKING SUCH ATTEMPT AND SPONSOR MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor and Sweepstakes Entities shall not be liable to Prize winner or any other person for failure to supply the Prize or any part thereof, by reason of any act of God, any action, regulation, order or request by any governmental or quasi-governmental entity , equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot or any similar or dissimilar event beyond Sponsor's or Sweepstake Entities' reasonable control. Neither Sponsor nor Sweepstakes Entities shall be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the cruise line, hotel or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same.
